Indemnification

Governing Law and Disputes

Any legal action or proceeding relating to your access to or use of the Site and Services is governed by the laws of the State of Delaware, and you hereby consent to the exclusive jurisdiction and venues of courts in the State of California in all disputes arising out of or relating to the use of the Site and/or Services.

Alternative Dispute Resolution 

In the unlikely event that Legal Tech Guide is unable to resolve your complaint to your satisfaction (or if Legal Tech Guide has not been able to resolve a dispute it has with you after attempting to do so informally), we each agree to submit a dispute to mediation pursuant to the Mediation Rules of the ADR Group. Failing settlement of that dispute by mediation, we each agree to resolve those disputes through binding arbitration or in small claims court rather than in a court of general jurisdiction. Arbitration is less formal than a lawsuit in court. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than a court does, and is subject to very limited review by courts. Any arbitration under these Terms will take place on an individual basis; class arbitrations and class actions are not permitted. 

Further, each party agrees to arbitrate solely on an individual basis and that this agreement does not permit class arbitration or any claims brought as a plaintiff or class member in any class or representative arbitration proceeding. The arbitral tribunal may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding. parties expressly waive their right to file a class action or seek relief on a class basis. In the event the prohibition on class arbitration is deemed invalid or unenforceable, then the remaining portions of the arbitration agreement will remain in force.

User IP

By posting User IP on the Website or otherwise submitting User IP to Legal Tech Guide  the user grants to Legal Tech Guide  and its Affiliates/Partners, a perpetual, worldwide, irrevocable, exclusive, royalty-free and fully sub-licensable right to use, reproduce, translate, modify, create derivative works of, publicly display, communicate and distribute the User IP in the ordinary course of our business, with the exclusive right to enforce copyrights against anyone copying, republishing, distributing, editing, scraping or preparing derivative works without the consent of Legal Tech Guide, its Affiliates, Partners and any sub-licensees.

 Vendor Product Listings 

Vendor Product Listings, or Profiles,  are descriptions of vendor’s products, which include vendor name/logo, product name & description and screenshots,  created by Legal Tech Guide from publicly available content, vendor contributed modifications and any other content we create or license, which are featured in our online software directories. Listed company names are the service marks and trademarks of their respective companies.

Unsolicited Submissions

Except as may be required in connection with your use of the Website, Legal Tech Guide does not want you to submit confidential or proprietary information to us through this Site or any Applications. All comments, feedback, information or material submitted to Legal Tech Guide through or in association with this Site shall be considered non-confidential and Legal Tech Guide’s property. By providing such submissions to Legal Tech Guide you hereby assign to Legal Tech Guide,  at no charge, all worldwide right, title and interest in and to the submissions and any intellectual property rights associated therewith. You acknowledge that you are responsible for the submissions that you provide, including their legality, reliability, appropriateness, originality and content.

You represent, warrant, and agree that you will not contribute any content or submission or otherwise use Legal Tech Guide’s Services or interact with those Services in a manner that infringes or violates the intellectual property rights of Legal Tech Guide/third parties, violates any law or regulation, is harmful, fraudulent, deceptive, threatening, harassing, defamatory, obscene, or otherwise objectionable, jeopardizes the security of your account, attempts, in any manner, to obtain the password, account, or other security information from any other user, violates the security of any computer network, or cracks any passwords or security encryption codes, copies or stores any significant portion of the content, and decompiles, reverse engineers, or otherwise attempts to obtain the source code or underlying ideas or information of or relating to the Services and Site. A violation of any of the foregoing is grounds for termination of your right to use or access the Site.  

Termination of Services

Legal Tech Guide reserves the right, in its sole discretion, to terminate your access to the Site and Services at any time and without notice. We may terminate your access to Legal Tech Guide service’s if you violate any of the Terms.

Miscellaneous

No Waiver

No provision of these Terms shall be waived except pursuant to a writing executed by the party against whom the waiver is sought. No failure to exercise, partial exercise of, or delay in exercising any right or remedy under these Terms shall operate as a waiver or estoppel of any right, remedy, or condition. Except as provided in the Arbitration Agreement section, if any provision of these Terms is held invalid, illegal or unenforceable, the validity, legality and enforceability of the remaining provisions will not be affected or impaired. You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our express prior written consent. We will not be responsible for failure to fulfill any obligation due to causes beyond our control.

Right to Refuse

You acknowledge that Legal Tech Guide reserves the right to refuse service to anyone and to restrict user access at any time for any reason. 

Severability

In case any one or more of the provisions contained in these Terms shall for any reason be held to be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provisions of these Terms. The Terms shall be construed as if such invalid or illegal or unenforceable provision had never been contained herein. Upon such determination that any term or other provision is invalid, illegal, or unenforceable, the court or other tribunal making such determination is authorized and instructed to modify these Terms so as to effect the original intent of the parties as closely as possible so that the transactions and agreements contemplated herein are consummated as originally contemplated to the fullest extent possible.   

Entire Agreement

These Terms, including policies and information linked from or incorporated herein or otherwise found on the Website, constitute the entire agreement between you and Legal Tech Guide with respect to the Siteand supersede, replace, nullify prior or contemporaneous communications, agreements, and proposals with respect to the Website.
